Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ChinaCheck platform located at www.china-check.com (the “Platform”), operated by Galaxy Digital Technology Limited, a company incorporated in Hong Kong SAR (“Company”, “we”, “us”, or “our”). By accessing or using the Platform you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

• “User” means any individual or entity that registers for or accesses the Platform.
• “Report” means any company information, risk, or due diligence report generated through the Platform.
• “Services” means the data retrieval, translation, analysis and report generation services provided by the Platform.
• “Source Data” means publicly available corporate registration and judicial records maintained by competent Chinese government authorities.

2. Eligibility

The Platform is intended for business and professional use. By registering you represent that you are at least 18 years of age, that you have the legal capacity to enter into these Terms, and that you will use Reports solely for lawful purposes such as know-your-customer (KYC) onboarding, counterparty due diligence, supplier verification, or general business identification.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at support@china-check.com if you suspect unauthorised use of your account.

4. Services and Reports

1. Reports are generated based on Source Data obtained from official Chinese government registries and judicial databases, translated and formatted by the Platform.
2. We endeavour to ensure accuracy but do not warrant that Reports are error-free, complete, or current. Source Data is maintained by third-party government bodies over which we have no control.
3. Reports are provided for informational and reference purposes only and do not constitute legal, financial, investment, or professional advice.
4. Each Report is prepared for the individual subscriber who placed the order and is confidential. You may not resell, redistribute, or publicly publish any Report without our prior written consent.

5. Data Availability and Report Content

The three report tiers (Company Information Report, Company Risk Report, and Due Diligence Report) differ in the scope of data categories queried, not in a guarantee of data volume. Many sections within a Report depend on whether the subject company has corresponding public records. It is normal and expected for some sections to return no data.

The following sections will display results only if the subject company has relevant public records. For example, a newly established company with no litigation history, no pledges, and no intellectual property filings may have all of these sections empty:

Branches, Investments, Headquarters, Annual Reports, Shell Entity Assessment

Company Risk Report (in addition to the above):

Dishonest Judgment Debtors, Judgment Debtors, Serious Violations, Operating Anomalies, Lawsuits, Case Filings, Court Session Announcements, Court Announcements, Service Announcements, Ultimate Beneficial Owner (UBO), Equity Pledges, Chattel Mortgages, Intellectual Property Pledges, Administrative Penalties, Spot Checks, Judicial Assistance, Change Records, Liquidation Information, Simplified Deregistration

Due Diligence Report (in addition to the above):

Financing History, Investment Institutions, Products, Competitors, Patents, Trademarks, Software Copyrights, Copyrights of Works, Administrative Licenses, ICP Filings, Investment Events, Private Funds

By purchasing a higher-tier report, you are paying for a broader scope of inquiry, not a guaranteed volume of data. The absence of records in risk and judicial categories is itself a meaningful finding — it indicates that no adverse public records were found in those categories at the time of report generation. A report confirming the absence of litigation, enforcement actions, or regulatory violations carries substantive due diligence value.

We do not offer refunds solely because certain sections of a Report contain no data. Please review the demo reports available on our Services page before purchasing to understand the format and scope of each report tier.

6. Pricing and Payment

1. Report prices are displayed in United States Dollars (USD) and are exclusive of any applicable taxes.
2. Payments are processed securely through Stripe. We do not store your full payment card details on our servers.
3. All purchases are final. Due to the digital nature of Reports and the cost of data retrieval and translation, refunds are generally not available once a Report has been generated. If a Report is materially defective (e.g., blank or for the wrong company), please contact us within 7 days of purchase and we will investigate and, at our sole discretion, issue a replacement or refund.
4. We reserve the right to modify pricing at any time. Price changes do not affect orders already paid for.

7. Report Validity

Each Report carries a recommended reference period of 90 days from its date of issue. This validity period represents the timeframe within which we consider the Report reasonably reliable for reference purposes. It is not a guarantee that the underlying data remains unchanged during that period.

Reports are point-in-time snapshots based on Source Data available at the moment of generation. Chinese corporate registration records, judicial proceedings, regulatory actions, and other Source Data may be updated by the relevant government authorities at any time without notice. Changes that occur after a Report is generated — whether within or outside the 90-day reference period — will not be reflected in the Report.

For any transaction-critical, time-sensitive, or high-value decision, we strongly recommend obtaining a fresh Report to ensure you are acting on the most current information available. The Company assumes no responsibility for decisions made on the basis of outdated information.

8. Intellectual Property

1. The Platform, its design, code, branding, and proprietary analytics are owned by Galaxy Digital Technology Limited or its licensors and are protected by intellectual property laws.
2. Source Data contained in Reports remains publicly available government information. Our intellectual property rights extend to the compilation, translation, formatting, and analysis we add to that data.
3. You are granted a limited, non-exclusive, non-transferable licence to use purchased Reports for your internal business purposes.

9. Prohibited Conduct

You agree not to:

• Use the Platform or Reports for any purpose that is unlawful, fraudulent, or harmful.
• Attempt to reverse-engineer, scrape, or systematically download data from the Platform.
• Interfere with the security or integrity of the Platform.
• Impersonate any person or entity or misrepresent your affiliation.
• Use automated tools (bots, crawlers) to access the Platform without our written permission.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Company, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or in connection with your use of the Platform or any Report, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising under these Terms shall not exceed the amount you paid for the specific Report giving rise to the claim.

11. Disclaimer of Warranties

The Platform and Reports are provided on an “as is” and “as available” basis. We disclaim all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not guarantee uninterrupted or error-free operation of the Platform.

12. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your use of any Report, or your violation of any applicable law or third-party rights.

13. Termination

We may suspend or terminate your account at any time if we reasonably believe you have breached these Terms. Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and governing law) shall survive.

14. Modifications

We may update these Terms from time to time. The revised version will be posted on this page with an updated effective date. Continued use of the Platform after changes constitutes acceptance of the revised Terms. For material changes we will make reasonable efforts to notify registered Users by email.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Hong Kong SAR. Before initiating formal proceedings, the parties agree to attempt to resolve disputes amicably through good-faith negotiation for a period of not less than 30 days.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and the Company regarding your use of the Platform and supersede all prior agreements and understandings.
